What’s Off Market transactions?
Ø Operators open account with a brokerage that has a nation-wide presence. Though off-market transactions, promoters transfer a large chunk of shares to the operators, who creates artificial liquidity through circular trading. Once the desired price is achieved, the shares are transferred back to the promoter account.
What’s in for promoters, operators?
Ø While the operator gets a fee for their ‘services’, promoters are able to attract investors at higher levels.
How does it remain unnoticed?
Ø The whole exercise is completed within s quarter so that there is no change in shareholding the next reporting season.
They ensure they do not trigger the 2% limit that invites mandatory disclosure.
